Gaggle Terms of Service

Effective date: [EFFECTIVE DATE] Last updated: [LAST UPDATED DATE]

These Terms of Service (the "Terms") are a binding agreement between you and MoreGood, LLC ("MoreGood," "we," "us," or "our"). They govern your use of gaggle.bot, the Gaggle AI teammates, the Task-as-a-Service offering, and every related website, email address, and service we provide (together, the "Service").

PLEASE READ SECTION 19 CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, WAIVES YOUR RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS ACTION, AND EXPLAINS HOW TO OPT OUT WITHIN 30 DAYS.

1. Accepting These Terms

1.1 By creating an account, signing an order form, sending a request to a Gaggle email address, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1.2 If you use the Service on behalf of a company or other organization, you confirm that you have authority to bind that organization to these Terms. In that case, "you" and "Customer" mean that organization.

1.3 Order forms control. If you have signed an order form, engagement letter, statement of work, or similar document with MoreGood (an "Order Form"), that Order Form controls over these Terms where the two conflict, but only for the specific conflicting term. Otherwise, these Terms apply in full.

2. Key Definitions

2.1 "Gaggle" or "gaggle" means a custom AI teammate configured by MoreGood that receives requests and delivers work by email, for example at name@gaggle.bot.

2.2 "Task-as-a-Service" means our offering for one-off tasks submitted to tasks@gaggle.bot or another address we designate, including the assistant known as Ozymandias.

2.3 "Customer Data" means the content, files, emails, instructions, and other information you or your users send to the Service, or that the Service accesses in your Connected Tools on your behalf.

2.4 "Connected Tools" means third-party products and accounts you give the Service access to, such as Google Drive, Google Sheets, Airtable, Therap, customer relationship management systems, and similar tools.

2.5 "Output" means the content, documents, data, edits, messages, and other results the Service produces or actions it takes in response to your requests.

3. The Service and AI Disclosure

3.1 Gaggles are AI. Gaggles are artificial intelligence systems, not human employees. They present as Gaggle teammates, and they do not claim to be human. Humans at MoreGood may configure, supervise, or review the Service, but you should assume that any message from a Gaggle email address was produced by AI.

3.2 What the Service does. Gaggles receive requests by email, perform work inside your Connected Tools using the access you grant, and send deliverables back by email. The specific scope of work for your Gaggle may be described in your Order Form.

3.3 Changes to the Service. We may add, change, or remove features of the Service at any time. If a change materially reduces the core functionality you have paid for during a committed term, your sole remedy is to end the affected subscription and receive a prorated refund of prepaid fees for the unused part of that term.

3.4 No guaranteed availability. We do not promise that the Service will be available at any particular time, will respond within any particular period, or will be free of errors or interruptions, unless an Order Form expressly says otherwise.

4. Accounts and Eligibility

4.1 You must be at least [18] years old and able to form a binding contract to use the Service. The Service is intended for business use.

4.2 You must give us accurate account information and keep it current. You are responsible for all activity under your account and for anything sent to a Gaggle from your email addresses or your users' email addresses.

4.3 Tell us promptly at [SUPPORT EMAIL] if you believe your account or email has been compromised.

5. Access and Permissions You Grant

5.1 You decide what the Service can reach. The Service works in your Connected Tools only through access you grant, for example by inviting a Gaggle address to a shared file or workspace, or by authorizing an integration.

5.2 You are responsible for that access. You are solely responsible for:

  • deciding which accounts, files, records, and permissions to grant;
  • granting only the minimum access needed for the work you request;
  • making sure you have the right, under your contracts, policies, and applicable law, to grant that access;
  • reviewing the access you have granted from time to time; and
  • revoking access when you no longer want the Service to have it, including when your subscription ends.

5.3 Actions taken with your access. Actions the Service takes within the access you grant, in response to requests from you or your users, are treated as taken at your direction. We are not responsible for changes, deletions, messages, or other actions in your Connected Tools that fall within the access you granted and the requests you made.

5.4 Backups. You are responsible for keeping your own backups of data in your Connected Tools. We strongly recommend that you keep version history enabled and that you test the Service on non-critical data first.

6. Customer Data, Sensitive Data, and PHI

6.1 Your responsibility. You are responsible for the accuracy, quality, and legality of Customer Data, and for having all rights, consents, and notices needed for us to process it as described in these Terms and our Privacy Policy.

6.2 No PHI without a BAA. You must not send, upload, or give the Service access to protected health information as defined under HIPAA ("PHI") unless you and MoreGood have both signed a separate business associate agreement ("BAA") that covers that use. Unless and until a signed BAA is in effect:

  • MoreGood is not your business associate and does not act as one;
  • you must not send PHI to the Service or grant access to systems containing PHI; and
  • you are solely responsible for any PHI sent or made available in violation of this Section, including any notification or other obligations that result.

6.3 Other sensitive data. Unless an Order Form expressly allows it, you must not send the Service government identification numbers, financial account or payment card numbers, biometric data, information about children, or other data that is regulated or that requires special protection under law. If an Order Form allows sensitive data, you remain responsible for deciding whether the Service is appropriate for that data.

6.4 Your regulatory obligations. You are solely responsible for your own compliance with laws, regulations, licensing rules, payer rules, and contracts that apply to you and your work, including in behavioral health, disability services, and other regulated fields. MoreGood does not make any representation that the Service meets the requirements of any particular law or standard, unless a signed agreement with MoreGood expressly says so.

7. How We Use Customer Data

7.1 To provide the Service. We use Customer Data to provide, maintain, support, secure, and improve the Service for you, to prevent abuse, and to comply with law. Our Privacy Policy explains this in more detail.

7.2 Service providers. We use service providers to run the Service, including cloud hosting providers, AI model providers, email infrastructure providers, payment processing through Stripe, and Google Workspace. Customer Data may be processed by these providers on our behalf as needed to provide the Service.

7.3 [OPTIONAL: Model training. We do not use Customer Data to train generative AI models that are made available to anyone other than you, and we do not permit our AI model providers to do so under our agreements with them. RENAUD TO CONFIRM, REVISE, OR DELETE.]

7.4 Aggregated data. We may create and use aggregated or de-identified data that does not identify you or any individual, such as usage statistics, to operate and improve the Service.

7.5 Ownership. As between you and MoreGood, you own your Customer Data.

8. AI Output Disclaimer

8.1 Output may be wrong. The Service uses artificial intelligence. Output may be inaccurate, incomplete, out of date, inconsistent, or offensive. AI can state false information confidently. Output may also be similar to output produced for other customers.

8.2 You must review Output. You are responsible for reviewing, checking, and approving all Output before you rely on it, share it, submit it to anyone, or act on it. You are responsible for all decisions you make and actions you take based on Output.

8.3 Not professional advice. Output is not legal, medical, clinical, diagnostic, treatment, billing, coding, tax, financial, accounting, or compliance advice, and the Service is not a substitute for a qualified professional. Do not use the Service to make decisions about a person's health care, treatment, eligibility for services, benefits, housing, employment, or credit without independent review by a qualified human.

8.4 No emergencies. The Service is not monitored in real time and must not be used for emergencies, crisis response, or any situation where a delay or error could cause injury or harm.

9. Acceptable Use

You must not, and must not allow anyone else to:

  • use the Service in violation of any law, regulation, or third-party right;
  • send PHI or other sensitive data in violation of Section 6;
  • use the Service to send spam, phishing, or unsolicited bulk messages;
  • use the Service to harass, threaten, defame, or discriminate against anyone;
  • upload malware, or try to disrupt, overload, or probe the security of the Service;
  • try to gain unauthorized access to the Service, other customers' data, or any system;
  • give the Service access to accounts or data you are not authorized to share;
  • attempt to make a Gaggle impersonate a human or a specific real person, or present Output as written by a human when disclosure is required;
  • use the Service to make solely automated decisions with legal or similarly significant effects on individuals;
  • try to extract the Service's prompts, configuration, or underlying models, or reverse engineer the Service, except where the law expressly permits it;
  • use the Service or Output to build a competing product; or
  • resell or sublicense the Service unless an Order Form allows it.

10. Suspension and Termination

10.1 Suspension. We may suspend or limit all or part of the Service, with or without notice, if we reasonably believe that you have violated these Terms, that your use poses a security, legal, or reputational risk to MoreGood or others, that suspension is required by law, or that your account is past due. We will try to restore the Service once the issue is resolved.

10.2 Termination by you. You may stop using the Service at any time. Paid subscriptions end at the end of the current billing period or committed term, as stated in your Order Form.

10.3 Termination by us. We may end these Terms or your access to the Service for convenience with [30] days' notice, or immediately if you materially breach these Terms or if we are required to by law. If we end a paid subscription for convenience, we will refund prepaid fees for the unused part of the term.

10.4 After termination. When the Service ends, your right to use it ends. You must revoke the access you granted to your Connected Tools. We will delete or de-identify Customer Data we hold within [30] days after termination, except where we must keep it longer by law or for legitimate business purposes such as resolving disputes, and except for copies in routine backups, which are deleted on their normal cycle. If you want a copy of any Customer Data we hold, ask before your account ends.

11. Fees and Payment

11.1 Fees. Paid plans include a one-time setup fee and a recurring monthly subscription fee, unless your Order Form says otherwise. Fees are stated on our website, in your checkout, or in your Order Form.

11.2 Billing. Payments are processed by Stripe. By providing a payment method, you authorize us and Stripe to charge it for the setup fee, recurring subscription fees, and any other fees you agree to, until you cancel. Subscriptions renew automatically each month unless canceled before the renewal date.

11.3 Minimum terms. If your Order Form includes a minimum term or minimum commitment, you are responsible for the fees for the full term even if you stop using the Service early.

11.4 Non-refundable. All fees, including setup fees, are non-refundable and non-cancelable, except as expressly stated in these Terms or in an Order Form.

11.5 Late payment. If a payment fails or is late, we may suspend the Service and charge interest of [1.5]% per month or the highest rate allowed by law, whichever is lower, plus reasonable collection costs.

11.6 Taxes. Fees do not include taxes. You are responsible for all sales, use, value-added, and similar taxes, other than taxes on MoreGood's income.

11.7 Price changes. We may change our prices with at least [30] days' notice. Price changes take effect at the start of your next billing period after the notice period, or at renewal of a committed term.

11.8 Billing disputes. You must tell us about any billing dispute within 60 days of the charge. Undisputed charges are final.

12. Third-Party Tools and Services

12.1 The Service works with Connected Tools and other third-party products that MoreGood does not own or control. Your use of them is governed by your agreements with those third parties.

12.2 We are not responsible for third-party tools, including their availability, security, accuracy, changes to their features or interfaces, or how they handle your data. If a third-party tool changes in a way that affects the Service, we may change or stop the affected features without liability.

12.3 Granting the Service access to a Connected Tool may allow data to move between that tool and the Service. You are responsible for deciding whether that is appropriate under your agreement with the third party.

13. Intellectual Property

13.1 Our property. MoreGood and its licensors own the Service, including the software, prompts, configurations, workflows, templates, website, and the Gaggle name and brand. Except for the limited rights in these Terms, we do not grant you any rights in them. All rights not expressly granted are reserved.

13.2 Your license to use the Service. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your subscription.

13.3 Output. As between you and MoreGood, and subject to your compliance with these Terms, you may use the Output for your business purposes. We do not guarantee that Output is protectable by copyright or that it does not infringe anyone's rights. MoreGood keeps ownership of its pre-existing materials and general know-how, and of any reusable templates, workflows, and improvements to the Service, even if they were developed while serving you.

13.4 License to Customer Data. You grant MoreGood and its service providers a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data as needed to provide, secure, and support the Service and as otherwise permitted by these Terms.

14. Feedback

If you give us suggestions, ideas, or other feedback about the Service, you grant MoreGood a perpetual, irrevocable, worldwide, royalty-free, fully paid license to use, modify, and commercialize that feedback for any purpose without obligation to you. Feedback does not include your Customer Data or identify you publicly without your permission.

15. Confidentiality

Each party will use reasonable care to protect the other party's non-public business information that is marked confidential or that should reasonably be understood to be confidential, and will use it only as needed to perform under these Terms. This does not apply to information that is public, already known to the receiving party, independently developed, or rightfully received from a third party. A party may disclose confidential information when required by law, after giving the other party reasonable notice where legally permitted.

16. Disclaimer of Warranties

16.1 THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, MOREGOOD AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

16.2 WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR ANY LEGAL OR REGULATORY STANDARD.

16.3 Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you. In that case, these disclaimers apply to the fullest extent permitted by law.

17. Limitation of Liability

17.1 No indirect damages. TO THE FULLEST EXTENT PERMITTED BY LAW, MOREGOOD AND ITS AFFILIATES, OWNERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, LOSS OR CORRUPTION OF DATA, COST OF SUBSTITUTE SERVICES, OR BUSINESS INTERRUPTION, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

17.2 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, MOREGOOD'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, COMBINED, WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU ACTUALLY PAID TO MOREGOOD FOR THE SERVICE IN THE [3] MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) $[100].

17.3 Basis of the bargain. These limits apply even if a remedy fails of its essential purpose. They are an essential part of the bargain between you and MoreGood, and our fees would be higher without them. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case, our liability is limited to the fullest extent permitted by law.

18. Indemnification

18.1 You will defend, indemnify, and hold harmless MoreGood and its affiliates, owners, members, officers, employees, agents, and service providers from and against all claims, demands, losses, damages, fines, penalties, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Customer Data, including any PHI or other sensitive data sent or made available in violation of these Terms;
  • your instructions and requests to the Service, and your use of or reliance on Output;
  • the access, accounts, and permissions you grant to Connected Tools, and any action taken within that access at your direction;
  • your obligations under laws, regulations, licensing rules, payer rules, and contracts that apply to you, including health privacy, consumer protection, and employment laws;
  • your violation of these Terms or of any third party's rights; and
  • any claim by your clients, patients, participants, employees, users, or other people whose information you provide.

18.2 We will give you notice of a claim and reasonable cooperation at your expense. You may not settle any claim in a way that admits fault by MoreGood or imposes obligations on MoreGood without our written consent. We may take part in the defense with counsel of our choice at our own expense.

19. Dispute Resolution, Binding Arbitration, and Class-Action Waiver

19.1 Informal resolution first. Before starting arbitration or a court case, the party with the dispute must send the other a written notice describing the dispute and the relief requested. Notices to MoreGood go to [LEGAL EMAIL] and [BUSINESS ADDRESS]. The parties will try in good faith to resolve the dispute for 30 days after the notice is received.

19.2 Agreement to arbitrate. If the dispute is not resolved informally, you and MoreGood agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including questions about the scope, validity, or enforceability of this Section, will be resolved by final and binding arbitration on an individual basis, except as provided in Section 19.5. The Federal Arbitration Act governs this Section.

19.3 How arbitration works. Arbitration will be administered by [ARBITRATION PROVIDER] under its rules then in effect for commercial disputes (or for consumer disputes, if those rules are required to apply), before a single arbitrator. The arbitration will take place in [ARBITRATION VENUE: CITY, STATE], or by video conference or written submissions if the parties agree or the rules allow. The arbitrator may award the same individual relief a court could award, but only to the individual party seeking relief and only to the extent needed for that party's individual claim. Judgment on the award may be entered in any court with jurisdiction.

19.4 Class-action and jury waiver. YOU AND MOREGOOD EACH AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON. YOU AND MOREGOOD EACH WAIVE THE RIGHT TO A JURY TRIAL. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be decided by a court under Section 21, and not in arbitration.

19.5 Exceptions. Either party may:

  • bring an individual claim in small claims court, if the claim qualifies and stays there; and
  • seek temporary, preliminary, or permanent injunctive relief or other equitable relief in court to protect its intellectual property rights or confidential information, or to stop unauthorized access to or misuse of the Service, without first going through the informal process or arbitration.

19.6 Mass filings. If 25 or more similar arbitration demands are filed against MoreGood by or with the help of the same law firm or organization, the demands may be administered in batches as permitted by the arbitration provider's rules, and the parties will cooperate in good faith to resolve them efficiently.

19.7 30-day right to opt out. You may opt out of this agreement to arbitrate by emailing [LEGAL EMAIL] within 30 days after you first agree to these Terms. Your notice must include your name, your organization (if any), the email address associated with your account, and a clear statement that you are opting out of arbitration. If you opt out, the rest of these Terms still apply, and disputes will be resolved in court under Section 21. Opting out does not affect any earlier agreement to arbitrate with us.

19.8 Changes to this Section. If we make a material change to this Section, the change will not apply to any dispute of which we had actual notice before the change took effect.

20. Time Limit for Claims

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE STARTED WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE. OTHERWISE, THE CLAIM IS PERMANENTLY BARRED.

21. Governing Law and Venue

These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules, and by the Federal Arbitration Act for Section 19. For any dispute that is not subject to arbitration, you and MoreGood consent to the exclusive jurisdiction and venue of the state and federal courts located in [COUNTY, STATE].

22. Changes to These Terms

22.1 We may update these Terms from time to time. We will post the updated Terms on gaggle.bot and change the "Last updated" date. For material changes, we will give at least [30] days' notice by email or through the Service before the change takes effect, unless the change is required by law or addresses a security issue, in which case it may take effect sooner.

22.2 Your continued use of the Service after the changes take effect means you accept them. If you do not agree, you must stop using the Service. Where you have a committed term under an Order Form, material changes that are adverse to you will apply at your next renewal unless you agree sooner.

23. Force Majeure

MoreGood will not be liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemics, war, terrorism, civil unrest, labor disputes, government action, power or internet failures, cyberattacks, and failures or changes of third-party hosting, AI model, email, payment, or other service providers or of Connected Tools.

24. General Terms

24.1 Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. MoreGood may assign these Terms without your consent, including to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this Section is void.

24.2 Severability. If any part of these Terms is found invalid or unenforceable, that part will be enforced to the maximum extent allowed and the rest of these Terms will remain in full effect.

24.3 Entire agreement. These Terms, our Privacy Policy, any Order Form, and any BAA signed by both parties are the entire agreement between you and MoreGood about the Service. They replace all prior or contemporaneous understandings about the same subject. Terms in your purchase orders or other documents do not apply, even if we accept them.

24.4 Order of precedence. If documents conflict, this order applies: (a) a BAA signed by both parties, for matters involving PHI; (b) an Order Form; (c) these Terms; (d) the Privacy Policy.

24.5 Survival. Sections 2, 5.3, 6, 7.4, 7.5, 8, 10.4, 11 (for amounts owed), 12, 13.1, 13.3, 13.4 (as needed to complete wind-down), 14 through 21, 23, and 24, and any other provision that by its nature should survive, will survive the end of these Terms.

24.6 No waiver. Our failure to enforce any part of these Terms is not a waiver of our right to enforce it later.

24.7 Relationship. The parties are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship.

24.8 Notices. We may send you notices by email to your account address or through the Service. You must send legal notices to [LEGAL EMAIL], with a copy to MoreGood, LLC, [BUSINESS ADDRESS].

24.9 Export and sanctions. You will comply with all applicable export control and sanctions laws and will not use the Service from or for any sanctioned country or person.

24.10 Electronic communications. You agree that agreements, notices, and other communications we provide electronically satisfy any legal requirement that they be in writing.
